In short
This is a plain-language summary. The full terms below are what applies.
You can
- Use our instruments and sounds in your own music, film, games, podcasts, apps and any other project, commercial or not, with no royalties to pay.
- Install a product on up to three computers that you own and use yourself.
- Sell or give a license you paid full price for to someone else: contact us and we will transfer it. Free, educational and upgrade licenses cannot be transferred.
- Share presets, MIDI files and settings that reference our products.
You cannot
- Redistribute the samples, or the sounds our instruments produce, as samples, loops, sound packs, sound effects, or as part of another instrument or sound library.
- Use our products or their output to train or build machine-learning or generative-audio systems.
- Run our products on a server, cloud machine, online DAW or any service where other people play or render with them. If you want to do this, we are open to it: contact us for a separate agreement.
- Share your serial numbers, or bypass the copy protection.
Refunds: our products are downloads. Once you have started the download you no longer have a right of withdrawal, which you confirm at checkout. If a product does not work as described, contact us and we will fix it or refund you.
Part A - End User License Agreement
1. Who this is between
This agreement is between you (the "Licensee") and Acousticsamples SASU, a company registered in France ("Acousticsamples", "we", "us"), which owns the Products. The company that invoices your order is named at checkout and on your invoice.
By downloading, installing or using a Product you accept this agreement. If you do not accept it, do not install or use the Product.
2. Definitions
- Product: any virtual instrument, sample library, expansion, sound set, plug-in, application or update that we publish, whether paid or free, including products that run inside third-party players such as UVI Workstation or Falcon.
- Content: everything a Product contains: audio samples, impulse responses, modelled and synthesised sounds, scripts, presets, mappings, data files, graphics, documentation and the software engine.
- Output: any audio produced by playing, rendering or exporting a Product.
- Composition: a piece of music or audio work you create in which Output is combined with your own creative input and is not the sole or dominant element.
3. What we grant you
Subject to this agreement, we grant you a non-exclusive, perpetual license to:
- install and use the Product on up to three (3) computers that you own or exclusively control, for use by you personally (one natural person per license; a company may buy a license for one named user);
- use the Product to create Compositions;
- reproduce, distribute, broadcast, stream, synchronise, perform and sell your Compositions, in any medium, worldwide, with no further payment to us.
This is a license, not a sale. We keep ownership of the Products and the Content. All rights not expressly granted are reserved.
4. Restrictions
Unless you have a separate written agreement with us, you may not:
a. Redistribute the sounds. Distribute, sell, lend, rent, upload or otherwise make available any Content or Output as standalone sounds, in whole or in part, in any form. This includes sample packs, loop packs, sound-effect libraries, "one-shots", "stems" sold as sounds, and uploads to sample marketplaces or sound-sharing platforms.
b. Build another instrument from it. Use Content or Output, whether raw, processed, re-sampled or re-synthesised, to create or contribute to a sample library, soundfont, SFZ, ROM, hardware sound set, preset pack that embeds audio, or any other virtual, physically-modelled or neural instrument, whether for sale or for free. This applies to the samples and equally to the sounds the Product's engine and scripts produce.
c. Train machine-learning systems on it. Use Content or Output to train, fine-tune, evaluate, benchmark or prompt any machine-learning, artificial-intelligence or generative-audio model or system, or to build datasets for those purposes. A finished Composition that you release is not affected by this clause; rendering the Product, or parts of it, into audio for the purpose of feeding a model is.
d. Embed the sounds as playable elements. Include Content or Output in a product where it can be triggered or accessed as individual sounds, for example note-by-note in a game audio engine, in a music app or keyboard app, in a ringtone or notification-sound pack, or in a musical toy or hardware instrument. Music you compose with the Product for a game, app or film is a Composition and is allowed.
e. Operate it for others. Install or run the Product on a server, virtual machine, cloud instance, remote desktop, render farm, browser-based or online DAW, or any hosted service, or otherwise make the Product's functionality available over a network to anyone other than yourself. This includes score-to-audio and MIDI-to-audio services, "instrument on demand" or streaming-instrument services, APIs, collaborative online sessions where other users play the instrument, and educational or studio setups where several people use one license.
We are not against these uses. They simply need a different license, priced for that use. If you run or are building such a service, or need multi-seat, classroom or institutional licensing, contact us and we will set up a separate agreement.
f. Sublicense. Grant anyone, including any platform, marketplace or service you upload to, rights in the Content or Output beyond those this agreement grants you.
g. Tamper with it. Copy, decrypt, extract, decompile, disassemble or reverse-engineer any Product, its content packages or its copy protection; share, publish or resell serial numbers or activation data; or use a Product that has been modified or unlocked by anyone other than us.
h. Misrepresent it. Use the Acousticsamples name, product names or logos to endorse or promote your work without our written permission. Crediting us is welcome but not required.
Sharing presets, settings files, MIDI files or scripts that only reference a Product and contain no Content is allowed.
5. Activation, seats and data
Products are activated against your Acousticsamples account or serial number. Each license may be active on three (3) computers at the same time. You can deactivate a computer to free a seat. Excessive activation, deactivation or sharing patterns may result in the license being suspended until you contact us.
To activate and periodically validate a license, the Product sends us a machine identifier derived from your hardware, the product and version, the license or serial, and a small diagnostic report if the Product detects tampering. This data is used only for licensing, anti-piracy and support, and is handled as described in our Privacy Policy. The Product does not send your audio or project data.
Products that run inside UVI Workstation or Falcon are also subject to UVI's own terms and authorization system. iOS products are also subject to Apple's terms. AAX versions are also subject to PACE/iLok terms.
6. Transfer and resale
You may transfer a license to another person, once per license, provided that:
- you contact us first with the new owner's details and we confirm the transfer;
- you delete all copies and stop using the Product;
- the new owner accepts this agreement.
We will then re-register the license to the new owner. A transfer fee may apply; we will tell you the amount when you contact us. Licenses for free products, educational-priced products, and products obtained through upgrade, crossgrade or bundle-completion offers cannot be transferred.
7. Updates and compatibility
We may release updates at our discretion. We do not guarantee that a Product will work with future versions of any operating system, host application or third-party player, or with hardware and software not listed as supported at the time of purchase. Some updates may change or remove features.
8. Term and termination
This license lasts as long as you comply with it. It ends automatically if you breach it. On termination you must stop using the Product and delete all copies. Your Compositions created before termination remain yours.
9. Warranty and liability
Products are provided "as is". To the extent permitted by law, we disclaim all implied warranties, including fitness for a particular purpose. Our total liability for any claim relating to a Product is limited to the amount you paid for it. Nothing in this agreement limits liability that cannot be limited by law, or your statutory rights as a consumer, including the right to a conforming product under EU law where it applies.
Part B - Store Terms
10. Orders and delivery
Products are delivered as downloads and, where applicable, as serial numbers or account entitlements, normally immediately after payment is confirmed. Bank-transfer orders are delivered once the funds arrive. Prices are shown in the currency selected on the site; VAT or sales tax is applied according to your country. The seller for your order (Acousticsamples SASU or Acousticsamples LLC) is shown at checkout and on your invoice.
11. Withdrawal and refunds
Because Products are digital content delivered immediately, you lose your right of withdrawal (cooling-off period) once delivery has started. At checkout you expressly request immediate delivery and acknowledge that you thereby lose the right of withdrawal; your order confirmation email repeats this acknowledgement.
We therefore do not refund orders for change of mind, for buying the wrong product, or for incompatibility with hardware or software that was not listed as supported. If a Product is defective or does not match its description, contact us within 30 days and we will fix it, replace it or refund it, as the law requires. Please try the demo or check the system requirements before purchase; we are happy to answer questions beforehand.
12. Accounts
You are responsible for keeping your account credentials confidential and for everything done through your account. One account per person; accounts and their licenses may not be shared.
13. User contributions
Demos, comments and other material you submit to the site may be published by us, edited for length, or removed. By submitting, you confirm you own the rights to the material and grant us a non-exclusive right to display it on our site and social channels.
14. Promotions and pricing
Promotional, educational, bundle, upgrade and crossgrade prices are subject to the conditions stated with the offer and may be withdrawn at any time. Prices may change without notice; the price at the time of order applies.
Part C - General
15. Changes to these terms
We may update these terms. The version in force is the one published on this page with its date. Changes apply to purchases made after publication; for existing licenses, changes apply only where they do not reduce the rights you already have.
16. Governing law
These terms are governed by French law. If you are a consumer, you keep the protection of the mandatory consumer laws of the country where you live. If we cannot resolve a dispute together, the competent courts of Paris, France, have jurisdiction, without prejudice to a consumer's right to bring a claim in their local courts.
17. Miscellaneous
If any clause is found unenforceable, the rest remains in force. This document, together with the Privacy Policy, is the entire agreement between you and us regarding the Products. Our failure to enforce a clause is not a waiver of it.
